Belinda is an Associate in the Corporate Department. Her practice areas include corporate and commercial (including M&A), insolvency, and regulatory and advisory.

Belinda has assisted and advised on a variety of general and specialised corporate-commercial matters. Her experience includes conducting due diligence exercises, providing general corporate advisory, drafting agreements as well as advising on local regulatory issues.

Belinda possesses a unique skill set that has produced immaculate results across different disciplines. She has/is:

  • Assisting the adviser to Cupric Canyon Capital LP in relation to the disposal of its interest in Khoemacau Mining Proprietary Limited and Discovery Copper (Botswana) Proprietary Limited;
  • Assisting the adviser to Rand Merchant Bank (a division of FirstRand Bank Limited) in relation to the financing of the Tati 100MW solar PV generation facility in Botswana;
  • Assisting the adviser to Rand Merchant Bank (a division of FirstRand Bank Limited) in relation to the financing of the Selebi – Phikwe 50MW solar PV generation facility in Botswana;
  • Assisted local co-counsel to Vitol Holdings II S.A. and its subsidiaries (in its acquisition of 74% of the total issued shares in Engen Limited, a subsidiary of PETRONAS Marketing International Sendirian Berhad); 
  • Assisted lead counsel in respect of the private placement and subsequent listing on the Botswana Stock Exchange of Medium-Term Notes worth BWP 2,000,000,000.00;
  • Acted for Quality Service (Proprietary) Limited in a due diligence exercise in respect of its proposed acquisition of Luxiant Services (Proprietary) Limited;
  • Assisting lead counsel to the liquidators of BCL Group of Companies which entities previously operated nickel/copper mines in Botswana. Lead counsel is assisting the liquidators in disposing various assets in separate transactions which require liaising with regulators and international purchasers, conducting research and advising the liquidators on various matters relating to the winding up of the BCL Group of Companies;
  • Acted for Marriot International Incorporated in conducting a limited due diligence exercise in respect of a proposed hotel management agreement;
  • Acted for BIFM Holdings and Services in the re-domiciliation of its incorporation to Botswana;
  • Drafted various types of agreements and company constitutions; and
  • Provided regulatory advice including in relation to corporate and commercial matters, merger control, and the mining regulatory environment.
