  • Counsel to Natural Selections and South African private investors in their acquisition of 66% of the issued share capital of a major tourism business and the subsequent acquisition by a South African investor

  • Acting for Access Bank in the approval of its BWP500,000,000.00 Note Programme on the BSE

  • Counsel to a shareholder against Morula Capital (Proprietary) Limited, for a governance issue that culminated in the disposition of shares worth BWP

Energy & Natural Resources


  • Acting for Bravura South Africa, a mining conglomerate operating in West Africa, which sought to enforce its rights against a Caterpillar Finance agent in
    respect of equipment situate in Botswana.
  • Acting for BCL (in liquidation) in respect of a rehabilitation declarator

Construction & Public Works


  • Acted as lead counsel for Mwinda Alley, in a multi-million pula arbitration over the Bemcoville
    development.
  • Acted as counsel For a JV partner in a BWP 2 billion project of Lobatse water supply master plant.

Restructuring & Insolvency


  • Assisted Max Power with non-fatal insolvency measures i.e. scheme of compromise
  • Acted for FNBB to secure a novel pooling of assets and winding up order against a franchisee of KFC and assisted the liquidator with a restructuring including disposal of the franchise rights.

Equity Capital Markets


  •  Acting for BDC in a legal due diligence exercise for a project wherein BDC was desirous of acquiring, initially, approximately 35% of the total equity in Access Bank
  • Acted as lead counsel to Standard Chartered Bank Botswana Limited in respect of the private placement and subsequent listing of 7-year senior unsecured notes on the Botswana Stock Exchange (“BSE”) worth BWP229,963,000.00

Property Development & Conveyancing


  • Advised the developer of the i-towers development, and effected Botswana’s first successful sectional titles in addition to all registration of title

Public Procurement & Government Contracting


  • Acted for a mechanical works contractor, A.S.A, with respect to the construction of the new BURS headquarters in a BWP 53, 000, 000.00 claim.

Tax


  • Acted for Bank Gaborone in tax litigation from the Board of Adjudicators to the Court of appeal, setting an important precedent in the Hire purchase business model.
