Gotsilemotho Phuduhudu is a seasoned attorney with over 5 years post qualification experience. Her experience includes providing extensive corporate and commercial advice to a spectrum of clients both locally and internationally, mergers and acquisitions, banking and finance, capital markets, insolvency and restructuring, insurance, data protection and administration of estates.

  • assisting lead counsel to Royal Gold, Inc. together with its subsidiary RGLD Gold AG in their USD265 Million acquisition of high-quality silver stream from Khoemacau Copper Mining (Proprietary) Limited for the Khoemacau Copper Project in Botswana;
  • assisting local lead counsel to Rand Merchant Bank (a division of FirstRand Bank Limited) in relation to the financing of the Tati 100MW solar PV generation facility in Botswana;
  • assisting local lead counsel to Rand Merchant Bank (a division of FirstRand Bank Limited) in relation to the financing of the Selebi – Phikwe 50MW solar PV generation facility in Botswana;
  • assisting lead counsel to the liquidators of BCL Limited (in Liquidation) [BCL] and Tati Nickel Mining Company Proprietary Limited (in Liquidation) [Tati Nickel], in relation to:
    • the acquisition by Premium Nickel Resources Proprietary Limited of certain assets of the business of BCL, more particularly, nickel-copper-cobalt ("Ni-Cu-Co") assets formerly operated by BCL at the Selebi Mines; and 
    • the acquisition by Premium Nickel Group Proprietary Limited, in respect of the acquisition of certain assets of the business of Tati, more particularly, Ni-Cu-Co assets formerly operated by Tati Nickel at the Selkirk Mine. 
  • assisting in the scheme of arrangement, pursuant to which the proponent acquired 100% of the issued share capital of an entity which operates Mowana Copper Mine. In addition to the acquisition of share capital the proponent funded a scheme of arrangement which restored the target (which was in judicial management) to solvency in a transaction with a value of USD 25,000,000.00;
  • acted as local counsel to Allianz SE in respect of its joint venture with the Sanlam group of companies. The scope of work included conducting due diligence on the Botswana entities and assisting with the Botswana aspects of the transaction;
  • local counsel for Thyssenkrupp AG in relation to the reorganisation of its Botswana subsidiary, Thyssenkurp Industrial Solutions Proprietary Limited. The deal comprised of the separation of the three business units (Mining (MIN), Cement (CEM), Chemical and Process Technologies (CPT)) from each other and/or other remaining business of Thyssenkrupp AG and to set-up the required transaction structure. The legal advice the team rendered relates to the Botswana law aspect of the reorganisation;
  • assisted lead counsel to Standard Chartered Bank Botswana Limited in respect of the private placement and subsequent listing on the Botswana Stock Exchange of 7-year senior unsecured notes worth BWP 229,963,000.00; and
  • assisted lead counsel to Standard Chartered Bank Botswana Limited in respect of the private placement and subsequent listing on the Botswana Stock Exchange of 4-year senior unsecured notes worth BWP 93,603,000.00.
