Lefika Phirie is an Associate in our Corporate Department. He specialises in corporate commercial transactions, particularly, mergers and acquisitions, competition law, capital markets, mining and energy regulation, insurance, and general regulatory and advisory.
Lefika has garnered a wealth of experience in the time he has been practising as an attorney and has led numerous transactions with various local and international clients.

  • Acted as local counsel for a proposed bidder in the conducting of a legal due diligence in respect of the proposed acquisition of the issued shareholding in Engen Limited by Vitol Emerald Bidco Proprietary Limited.
  • Acted as lead local competition in the successful acquisition by Mr Price Group Limited of 100% of the issued share capital in Blue Falcon 88 Trading Proprietary Limited (t/a Studio 88).
  • Acted as lead competition advisor to Mascom Wireless Botswana Proprietary Limited on its acquisition of 100% of the issued shares of MTN Business Solutions Proprietary Limited.
  • Acted as lead competition advisor on the proposed acquisition of 100% of the issued shareholding of Kamoso Africa Proprietary Limited by Choppies Distribution Centre Proprietary Limited.
  • Acted as co-lead local competition advisor on the successful acquisition by Queens Proprietary Limited of the Gaborone and Francistown Hungry Lion fast food outlets from Hungry Lion Botswana.
  • Acted as lead local competition counsel advisor to the Allianz Group and Sanlam Group on the contribution of certain of their respective African operations (inclusive of Botswana Insurance Holdings Limited and African Life Assurance Company Proprietary Limited) to a newly incorporated South African joint venture holding company.
  • Acted as lead local competition counsel advisor in the successful acquisition by Heineken International B.V. (Heineken) of a further interest in Namibia Breweries Limited and the combination (using a newly created entity, Sunside Acquisitions Limited) of (1) Heineken’s current South African business, Heineken South Africa (RF) (Proprietary) Limited, along with its increased interest in NBL and, (2) the flavoured alcoholic beverages (FABs), wine and spirits businesses of Distell Group Holdings Limited.
  • Acted as lead local competition counsel advisor in the acquisition of up to 60% issued shares of Tongaat Hulett Limited by Magister Investments Limited (abandoned post-competition approval).
